Terms and Conditions for Basil Bloom
Welcome to Basil Bloom. These Terms and Conditions govern your use of our online platform and services provided by Basil Bloom. By accessing or using our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services.
1. Services Overview
Basil Bloom offers two primary categories of services:
- Technology Solutions: Development and provision of bespoke motivation and engagement platforms for various industries. These platforms may include gamified challenges, performance tracking, and reward systems tailored to client needs.
- Herbs & Spices: Sourcing, blending, and distribution of premium herbs and spices to culinary professionals and home cooks. This includes exotic blends, organic varieties, and workshops on spice usage and flavour profiling.
2. Acceptance of Terms
By using our site or engaging with any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. These terms apply to all visitors, users, and others who access or use our services.
3. User Accounts (for Technology Platforms)
For certain technology services, you may be required to register for an account. When creating an account, you agree to:
- Provide accurate, complete, and current registration information.
- Maintain the security of your password and identification.
- Be responsible for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account or any other breach of security.
4. Intellectual Property Rights
All content, features, and functionality on our online platform, including but not limited to technology platform designs, text, graphics, logos, images, as well as the selection and arrangement thereof, and the composition of spice blends, are the exclusive property of Basil Bloom and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our platform, except as generally permitted for personal, non-commercial use, or as explicitly agreed upon in a separate service contract.
5. E-commerce Terms (Herbs & Spices)
For purchases made through our spice provisions, the following terms apply:
- Pricing: All prices for products are listed in GBP and are subject to change without notice. Applicable taxes and shipping fees will be added at checkout.
- Payment: We accept various payment methods as indicated on our ordering pages. By submitting an order, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge your order to that payment method.
- Shipping: We aim to dispatch all orders promptly. Delivery times may vary depending on destination and shipping method chosen. Risk of loss and title for items purchased pass to you upon our delivery to the carrier.
- Returns & Refunds: Due to the nature of our products (perishable food items), all sales are generally final. Exceptions may be made for products that are defective or damaged upon arrival. Please contact us within 48 hours of receipt for such issues.
6. Workshops and Events (Herbs & Spices)
Terms specific to our workshops on spice usage and flavour profiling:
- Booking: Workshop spaces are limited and require advance booking and payment.
- Cancellation Policy: Cancellations made a specific number of days prior to the workshop date may be eligible for a refund or rescheduling, as specified at the time of booking. Late cancellations or no-shows may forfeit the fee.
- Conduct: Participants are expected to conduct themselves respectfully and safely during workshops. We reserve the right to remove any participant whose behaviour is disruptive or unsafe, without refund.
7. Confidentiality (Technology Platforms)
For clients engaging our bespoke technology solutions, any proprietary information, client data, or confidential materials shared with Basil Bloom during the development and implementation of motivation platforms will be treated with the utmost confidentiality. Specific Non-Disclosure Agreements (NDAs) may be put in place for individual contracts.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Basil Bloom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the service; (b) any conduct or content of any third party on the service; (c) any content obtained from the service; and (d) unauthorized access, use or alteration of your transmissions or content. This includes both our technology platforms and our herb and spice offerings.
9. Indemnification
You agree to defend, indemnify, and hold harmless Basil Bloom and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the service, by you or any person using your account and password; or (b) a breach of these Terms, or (c) your consumption or use of our products. This applies to both our technology and our culinary offerings.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
11. Changes to Terms and Conditions
We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
